Terms of service
These terms are between Liveleg LLC ("Liveleg", "we"), and the business that opens an account ("you"). They cover the Liveleg API, Voice SDK, console, numbers, messaging lines and website (the "service"). If you signed an order form, the order form wins where it conflicts with these terms.
1. Who can use Liveleg
- Liveleg is for businesses in the United States. You must be a registered business and at least 18. You may not use the service for personal, family or household purposes.
- You must give us true and complete business details and keep them current. That includes your legal name, tax ID, address, owners and how you call. We use them to verify your account, as federal rules require us to know our customers (47 CFR 64.1200(n)(4)).
- We review every account and every subaccount before it can call or text. We may ask for documents again each year, or when something changes. If you do not provide them, the features that need them stay off until you do.
- You may not use the service if you, your owners or your managers are on a US sanctions list, or if you are in a country or region under comprehensive US sanctions.
2. Your account, keys and users
- You are responsible for everything done with your account, API keys and console logins, and for the people and systems you let use them.
- Keep your keys secret. Tell us at security@liveleg.dev as soon as you think a key or login was misused.
3. Subaccounts and platforms
- You can create subaccounts for your own clients. Each subaccount is a separate business and goes through its own review.
- If you create subaccounts for other businesses, the Platform Addendum also applies. In short: your contract with each client must include our acceptable use policy; your client accepts our subaccount terms directly; you pass our notices to your client; and you help us answer questions about your clients' calls.
- You are responsible to us for your subaccounts' use of the service, together with each client.
4. Your calls and messages
- You decide who is called or messaged, when and why. For each call and message you are the seller or caller under telemarketing law, and you are responsible for following it. That includes consent, do-not-call lists, your National Do Not Call Registry subscription, state registrations and bonds, calling hours, caller ID, call recording and what your agents say.
- Liveleg checks many of these rules on every call. Those checks help, but they do not move your responsibility to us and are not legal advice.
- You must keep the consent records for your calls and texts and send them to us within 5 business days when we ask. We ask when a carrier, a regulator, the industry traceback group or a person who received a call raises a question.
- Federal rules require you to keep a copy of your contract with each provider that delivers your calls (16 CFR 310.5(a)(9)). These terms, with their version and date, are available in the console.
5. Acceptable use
You must follow the acceptable use policy. It lists the traffic we do not carry, the industries we review by hand, and how we handle a problem: by email first. We act first only when a law, a government or court order (including FCC orders), a law enforcement request, a carrier block or a traceback obligation requires it, or for a security incident such as a stolen API key, which we lock at once. Then we email you the same hour, unless the law or the order forbids it.
6. Numbers
- Numbers are assigned to your account (or subaccount) while it is in good standing and you pay for them. You do not own a number, but you have the right to keep using it and to move it.
- You may port your numbers to another provider at any time. We do not hold numbers back over a dispute. Unpaid charges stay due. (47 CFR 52.34.)
- When a subaccount's client leaves its platform, the client can port the subaccount's numbers out or move them to its own Liveleg account.
- You may use only numbers assigned to your account as caller ID. Every number you call from must take calls back and do-not-call requests.
- If you release a number, or close your account, we keep the number out of use for at least 90 days before we assign it to anyone else.
7. Messaging
- SMS and MMS are registered with the carriers in your business name. WhatsApp uses your own WhatsApp Business account. You must follow those programs' rules and the opt-in and opt-out rules of our acceptable use policy.
- Carriers and messaging platforms can filter, block or suspend messages or senders on their own. We tell you as soon as we learn of it.
8. Emergency calls (911 and 988)
- Calls to 911 and 988 from a Liveleg agent seat go to emergency services. 911 calls are never blocked.
- Each agent seat must have a registered location: the street address where the agent works. Agents set it when they first log in and must update it when they move. 911 calls use that address. If it is wrong, help can go to the wrong place.
- 911 can fail if the agent's internet or power is down, or the browser or app is closed. Agents should keep another phone for emergencies.
- You confirm that you told every user of these limits. Each agent confirms them in the console. We keep that confirmation.
9. Prices, taxes and fees
- Prices are on the pricing page or your order form. We bill monthly in arrears unless your order form says otherwise. We give at least 30 days' notice of a price increase.
- Taxes, and fees that the law requires telecom providers to collect, are added to your invoice as separate lines. That includes federal Universal Service charges and state and local 911 and telecom fees where they apply.
- Disputes about an invoice must reach us within 60 days of the invoice date.
10. Your responsibility to us
You will defend Liveleg against claims from others, and cover the resulting losses, fines and reasonable legal fees, to the extent the claim comes from your calls, messages, lead lists, consent records, recordings, or a breach of the acceptable use policy by you or your subaccounts. We will tell you about the claim promptly and let you control the defense.
11. Our responsibility to you
- We keep the service available and announce planned maintenance in advance. API versions stay supported for at least 12 months after a replacement is released.
- We keep your data secure as described in the privacy policy and any data processing addendum we sign with you.
12. Limits on liability
To the extent the law allows, each party's total liability under these terms is limited to the fees you paid in the 12 months before the claim. Neither party is liable for lost profits or indirect or consequential losses. These limits do not apply to your payment obligations, your obligations under section 10, or a breach of the acceptable use policy.
13. Notices about your account
- We send notices by email to your account's compliance contact and owner. For a subaccount, we send them to the platform and to the client's contact. Notices count as given when sent.
- Before we limit, pause or close an account, we follow the steps in section 6 of the acceptable use policy.
14. Ending the agreement
- You can close your account at any time.
- We can close your account with 30 days' written notice. We can close it sooner only after the notice steps in the acceptable use policy, or in the cases where we act first.
- After closing, fees for past usage stay due. You can export your data, recordings and call records for 30 days. We keep the records the law requires us to keep, as described in the privacy policy.
15. Law and disputes
Disputes are governed by the law and courts named in your order form.
16. Changes
We may change these terms with 30 days' notice by email. Changes required by law can take effect sooner. The current version is always on this page.
